Corporate Paralegal

For one of our clients, we are looking for a Corporate Paralegal, remotely from the United States.

In this role, you will work closely with the general counsel and business teams to streamline legal operations, maintain compliance, and support various strategic initiatives. Your responsibilities will include managing corporate governance tasks, preparing and filing business entity formations and compliance documents, and maintaining organized records for legal and corporate entities. You’ll also oversee the contract lifecycle, assist in drafting legal correspondence, and provide support on regulatory matters, all while ensuring smooth and efficient legal operations within the organization.

Accountabilities:

  • Assist with corporate governance, including managing corporate records, entity formations, and state filings.
  • Oversee the contract lifecycle management system, ensuring contracts and corporate records are properly maintained and organized.
  • Draft legal correspondence, contracts, and agreements, including nondisclosure agreements and assist with early-stage contract negotiations.
  • Prepare and file agency filings, providing support for inquiries from state and federal regulators.
  • Maintain and update the legal department’s form agreements library, supporting business teams with self-serve agreements.
  • Conduct legal research and assist with special projects to support business initiatives.

Requirements

  • Bachelor’s degree required; Paralegal certificate preferred.
  • 3-5+ years of experience as a paralegal, with a strong preference for corporate and healthcare experience.
  • Knowledge of corporate governance, contract management, and regulatory compliance.
  • Highly organized and detail-oriented with the ability to manage multiple tasks and deadlines.
  • Strong communication and interpersonal skills, with the ability to work cross-functionally in a fast-paced environment.
  • Proactive problem-solver who works independently and collaborates with internal stakeholders.
